Expert Program Terms and Conditions

Below are the terms and conditions governing your use of the Bsta.sa platform and its services, which allow you as a seller to access and use the platform, services, and applications to sell directly to buyers. These terms become effective once you accept them during the registration of your seller account, in accordance with Articles 5 and 10 of the Saudi Electronic Transactions Law. This agreement is available in Arabic and English; in case of any discrepancy, the Arabic version shall prevail.

Definitions

• Platform / Bsta Platform: Refers to the bsta.sa website, which enables sellers to list and sell goods and buyers to purchase them.

• Goods: Products and services offered on the Bsta platform.

• Seller: Any individual or entity selling goods through the Bsta platform.

• Buyer: Any individual purchasing goods via the Bsta platform.

• Service Provider: Any entity providing services to sellers and buyers via Bsta, such as shipping companies and payment gateways.

• Legal Documents: Includes the Terms of Use, Privacy Policy, Return Policy, Seller Fees, and any additional terms or policies related to the platform.

Declarations and Commitments

You represent, warrant, and commit that:

• You are fully authorized to agree to these seller terms and must comply at all times with the terms in the legal documents and all applicable laws and regulations in the Kingdom of Saudi Arabia.

• You have all necessary licenses, permits, ownership rights, approvals, and authorizations for the goods listed or listed on your behalf to sell or promote them in Saudi Arabia.

• You will provide the platform administration with updated legal documents such as a commercial registration, VAT certificate, and any other documents requested by Bsta, ensuring they remain valid. Failure to comply may result in account suspension.

• You are solely responsible for paying all relevant taxes to the Zakat, Tax, and Customs Authority.

• You guarantee the accuracy of the information at registration and the accuracy of all details, photos, specs, and stock availability for each listed product, updating them as needed.

• You will monitor purchase requests via the Seller Dashboard and registered email, handling them within 12 hours of payment. Notify Bsta immediately of any issues.

• You bear full legal responsibility for any liabilities arising from the use or purchase of your products.

• You will offer product warranties in line with regulations issued by the Ministry of Commerce and Investment and provide after-sales services including maintenance, returns, and replacements as outlined in the legal documents.

• Any content you provide and products you list do not infringe on third-party rights, including intellectual property.

Products and Services

The seller agrees to:

• Obtain all necessary documents and approvals to sell the product.

• List accurate product dimensions. Incorrect dimensions resulting in additional shipping costs will be your responsibility.

• Classify each product accurately according to its category.

• Regularly update pricing and stock, including VAT.

• Not use watermarks or logos in product images.

• Not list or sell products prohibited by Saudi law.

• Ensure all listed products meet Saudi quality and safety standards.

• Only list new, defect-free items (not refurbished or used).

• Accept returns under warranty as per Saudi laws and platform policies.

• Remain responsible for after-sales services and warranty claims.

• Comply with Bsta’s instructions regarding content removal, delivery, and returns.

Counterfeit and Imitation Prevention

It is strictly prohibited to list or sell counterfeit products. All items must be authentic. Counterfeits include fake, pirated, or illegally reproduced goods.

You are fully responsible for ensuring your listed goods are genuine and non-infringing. Bsta reserves the right to verify authenticity. If a product is found to be 100% counterfeit, Bsta may:

• Impose compensation of no less than SAR 200,000 and any governmental fines.

• Withhold pending payments until the matter is resolved.

• Impose further fines for reputation damage and losses.

• Temporarily suspend your account until obligations are met.

• Take legal action and report the violation to authorities.

Order Rejection

You may be fined up to 100% of the product value or bank charges if you reject an order due to:

• Out-of-stock items shown as available on the platform.

• Incorrect pricing listed on your seller account.

• Delays in shipping causing cancellation.

Warranty, Replacement & Returns

You acknowledge that providing a smooth experience for buyers is a top priority. You agree to:

• Accept returns when the buyer is eligible under sale terms or warranty period.

• Replace or refund returned items within a reasonable time.

• Take all necessary actions to refund the buyer when applicable.

Warranty Claims

For returned products under warranty, you agree:

• Bsta will collect the product and deliver it to your registered address.

• You are solely responsible for repairs or providing replacements.

• Repaired or replaced items must be in good condition, include all accessories, and be returned in original packaging.

• You must coordinate with the chosen courier using provided shipping documents, ensuring delivery within two days.

You may be fined up to 100% of the product value, including delivery and bank fees, if:

• You reject a valid warranty claim.

• You return an unrepaired or unreplaced item.

• You ignore follow-up communication from Bsta.

• You sell used/refurbished items.

• You fail to provide a technical report for a returned item.

• You exceed the 14-day repair period.

Shipping

Shipping is handled by Bsta or its agents. Sellers must:

• Package goods securely to avoid damage.

• Deliver items to the courier within 12 hours (excluding official holidays or force majeure).

• Product ownership remains with the seller until received by the buyer. Seller bears all risk of damage during shipping.

• Risk transfers to the buyer upon delivery.

Content

• Bsta reserves the exclusive right to approve or reject any content added to the platform.

• Sellers are responsible for their uploaded content and bear legal responsibility.

• Bsta may edit, hide, or delete listings at any time.

• Bsta may market your products and brands through any channel.

• Both parties must maintain the confidentiality of buyer and platform information.

• Both parties agree to comply with Saudi IP and trademark laws, GCC unified laws, and international laws.

• Both parties agree to the Privacy Policy.

Invoices & VAT

• Bsta will issue invoices on your behalf using your VAT information.

• You will receive collected payments minus platform fees.

• Invoices will be sent electronically.

• You may adjust product prices via your seller dashboard.

• You must fulfill orders even if a pricing error occurs.

Fees & Payments

• Applicable fees follow the fee schedule at the time of sale.

• Weekly payments to sellers are made every Saturday, one week after buyer receipt.

• Bsta may impose charges for:

  • Canceled/returned sales.

  • Customer refunds.

  • Customs/duties.

  • Violations of this agreement.

  • Other disclosed fees.

• You are responsible for correct bank information.

Discounts & Promotions

You agree that Bsta may offer promotional discounts of up to 10% on your products.

Account Suspension & Termination

Without waiving any rights, Bsta may restrict or terminate your access and/or delete content if:

• You violate any seller terms.

• You delay delivery more than 3 times.

• You have a high return rate.

• You receive negative reviews.

• You cancel confirmed orders.

• You fail to cooperate with investigations.

• You do not meet performance indicators.

• Continuing service to you poses reputational or regulatory risk.

Upon termination:

• Your seller account will be closed.

• Bsta may offset any outstanding balances due to refunds, returns, or adjustments.

Intellectual Property

You grant Bsta a non-exclusive, royalty-free, sublicensable, transferable, global license to use your trademarks and IP to provide services. You may not use Bsta’s name, logo, or brand in promotions without written consent.

Both parties agree to:

• Comply with Saudi IP and trademark regulations and those of the GCC and international law.

• Adhere to the Privacy Policy.

Liability

Services are provided “as is.” Bsta disclaims all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and error-free operation.

Descriptions may not always be accurate or complete. Bsta is not liable for any losses or damages—direct, indirect, financial, or reputational.

General Provisions

You agree that Bsta may transfer its rights and obligations to another party.

Bsta has full discretion over the platform’s appearance, functionality, listings, and may suspend or cancel listings for legal or compliance reasons.

We may withhold payments to offset losses or damages caused by you or your buyers.
